ESADE Alumni and the ESADE Law School invite you to this talk in the Refresher Programme entitled “Disputes between partners and minority partners. Handbook for work colleagues and guide to settling disputes” by José María Rojí, partner at CMS, lawyer and arbitrator. All types of companies, and family firms in particular, often have disputes between partners that give rise to bitter court cases and have a negative impact on the shared business project. This talk will address the basic aspects of this type of dispute and how to provide preventive and proactive advice that can avoid such disputes, minimize their impact and implement the best legal and business solutions when they arise. José María Rojí became a partner in the business law division of CMS ALBIÑANA & SUÁREZ DE LEZO in October 2012 and is the secretary of their board of directors. Director of their Barcelona office since it opened. Practicing lawyer since 1996, with more than 20 years’ experience as a lawyer and more than 10 as an equity partner in international law firms. José María is specialised in providing business law advice. He has considerable experience in mergers and buy outs. He has designed, negotiated and carried out countless operations and contracts, both main and accessory, including many parasocial contracts. He is also a consultant in project finance and debt restructuring with particular emphasis on real estate, insurance and consumer products. José María Rojí has sat on boards of directors and boards of partners and shareholders in times of growth and opportunity and also during crises and disputes, giving advice about strategic corporate decisions, partners’ rights and administrators’ liabilities. He is also the secretary of the board of directors of several Spanish and international companies in different industries. He has also been an arbitrator and lawyer in the settlement of corporate disputes and buyout disputes. He has settled disputes related to the liabilities of administrators, separation rights, non-payment of dividends, challenges to industrial agreements, breaches of agreements between partners, breaches of no-competition agreements, loan default, execution of guarantees during buyouts, fulfilment of contracts, financial products, etc. He has acted as an advisor to several family groups both in settling their disputes and in structuring and documenting their relationships in order to safeguard the family firm.
